Lead Independent Director
A designated independent board member who serves as the primary liaison between independent directors and the chairman or CEO, particularly when the chairman and CEO roles are combined. The lead independent director chairs executive sessions, helps set board agendas, and ensures that independent directors can effectively fulfill their oversight responsibilities. This role has become increasingly important as a governance mechanism to counterbalance CEO influence over the board.
