Executive Session
A private portion of a board meeting held without management present, allowing independent directors to discuss sensitive matters candidly, such as CEO performance, executive compensation, succession planning, or potential conflicts of interest. Executive sessions are considered a governance best practice and are required for public company boards by many listing standards. They enable the board to exercise independent oversight and have frank conversations that might be inhibited by management's presence.
