Welcome to I'mBoard. By accessing or using our board management platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using I'mBoard, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Operating Company

I'mBoard is owned and operated by Slingshot Ventures Ltd, an Israeli company (Company Number: 517282786), with offices at Azrieli Sarona Tower, 121 Menachem Begin Rd, Tel Aviv 6701203, Israel.

References to "I'mBoard," "we," "us," or "our" in these Terms refer to Slingshot Ventures Ltd.

3. Description of Service

I'mBoard provides a board management platform designed to help companies organize board meetings, manage documents, track decisions, and facilitate governance workflows. Features may be modified, updated, or discontinued at our discretion.

4. User Accounts

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

Use the service for any unlawful purpose or in violation of any applicable laws.
Upload or share content that infringes on intellectual property rights.
Attempt to gain unauthorized access to our systems or other users' accounts.
Interfere with or disrupt the integrity or performance of the service.
Use the service to transmit malware, spam, or other harmful content.

6. Your Content

You retain ownership of all content you upload to I'mBoard. By uploading content, you grant us a limited license to store, process, and display your content solely to provide the service to you. We do not claim ownership of your board documents, meeting minutes, or other materials.

7. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS 1.3) and at rest (AES-256). For more details, please see our Security and Privacy Policy pages.

8. Subscription, Billing, and Payment

8.1 Free Trial

All boards include a 14-day free trial with full access to all features. No payment method is required to start a trial. If you do not subscribe before the trial ends, your board enters restricted mode.

8.2 Pricing

Subscription pricing is per seat per month, with a minimum number of seats per board. Current pricing and minimums are published at imboard.ai/pricing and are incorporated into these terms by reference. Prices are subject to change with 30 days' notice to active subscribers.

8.3 Seats

A "seat" represents one person's access to a board. A seat is occupied when someone accepts an invitation to join your board—regardless of whether they ever log in. Directors, observers, counsel, and executives each occupy one seat.

A seat is not counted for:

Pending invitations (not yet accepted)
Removed users

You are billed based on the number of occupied seats.

8.4 Billing Calculation

You are billed monthly based on the peak number of seats on your board during each billing cycle. Adding seats mid-cycle does not trigger immediate charges; your next invoice reflects the highest seat count from the previous cycle. We do not prorate mid-cycle.

8.5 Payment Processing

Payments are processed by LemonSqueezy, our merchant of record. By subscribing, you agree to LemonSqueezy's terms of service. We do not store your full payment card details.

8.6 Payment Failure and Grace Period

If a payment fails, we will notify you immediately. You will have a grace period during which your board retains full functionality. Grace period duration is published at imboard.ai/pricing. If payment is not resolved within the grace period, your board enters restricted mode until payment is recovered.

8.7 Restricted Mode

In restricted mode:

Allowed:

Viewing the board and all content
Downloading existing documents
Exporting your data

Blocked:

Inviting new members (adding seats)
Creating new meetings
Uploading new documents
Transferring board ownership

Restricted mode continues until an active paid subscription is established.

8.8 Cancellation

You may cancel your subscription at any time through your account settings or the LemonSqueezy customer portal. Upon cancellation:

You retain full access until the end of your current billing period
After the billing period ends, your board enters restricted mode
You may resubscribe at any time to restore full access

8.9 No Refunds

We do not provide refunds for:

Partial billing periods due to cancellation
Reduced seat counts mid-cycle
Board deletion mid-cycle

When you cancel or delete a board, you retain access through the end of your paid period, but no refund is issued for unused time.

8.10 Board Deletion

You may delete a board at any time. Deletion immediately and permanently removes:

All user access to the board
All board content and documents
All meeting history and records

Deletion cancels future subscription renewals but does not refund the current billing period. This action cannot be undone.

8.11 Automatic Deletion of Inactive Boards

Boards that remain in restricted mode for an extended period without the board owner logging in are considered abandoned. The specific inactivity period and warning period before deletion are published at imboard.ai/pricing. When a board is flagged for deletion, we will:

Send a deletion warning email to the board owner
Wait for the published warning period for the owner to take action (subscribe or log in)
Permanently delete the board if no action is taken

We recommend exporting your data before this occurs. Once deleted, board data cannot be recovered.

8.12 Board Ownership and Billing Responsibility

Each board has exactly one owner who is solely responsible for subscription payments. Ownership may be transferred to another user under the following conditions:

When transfer is allowed:

During an active trial (new owner inherits remaining trial days)
During an active paid subscription (new owner assumes billing next cycle)
After cancellation but before the billing period ends

When transfer is blocked:

During a payment failure grace period
While in restricted mode

Upon transfer, the original owner remains responsible for the current billing period. The new owner becomes responsible starting the next billing cycle.

9. Intellectual Property

I'mBoard and its original content, features, and functionality are owned by Slingshot Ventures Ltd and are protected by international copyright, trademark, and other intellectual property laws. The I'mBoard name, logo, and product names are trademarks of Slingshot Ventures Ltd.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, Slingshot Ventures Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

Our total cumulative liability for all claims arising from or relating to these Terms or the service shall not exceed the greater of: (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Slingshot Ventures Ltd and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these terms.

13. Changes to Terms

We may modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the service after changes constitutes acceptance of the new terms.

14. Termination

We may terminate or suspend your account at any time for violations of these terms. Upon termination for violation of these terms, your right to use the service will immediately cease and your boards may be deleted without refund. You may export your data before termination in accordance with our data export features.

14A. Account Deletion

You may request deletion of your I'mBoard account at any time. Before your account can be deleted, you must:

Transfer ownership of all boards you own to another user, OR
Delete all boards you own

Accounts that own one or more boards cannot be deleted. This prevents orphaned boards, protects other board members' access, and ensures clear billing responsibility.

To delete your account, ensure you own no boards, then contact support at legal@imboard.ai.

15. Governing Law and Dispute Resolution

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Arbitration Agreement. Any dispute, controversy, or claim arising out of or relating to these Terms or the service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware.

Class Action Waiver. You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@imboard.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
