Special Meeting
A board or shareholder meeting called outside the regular meeting schedule to address urgent or extraordinary matters that cannot wait until the next regularly scheduled meeting. Special meetings may be called by the chairman, a specified number of directors, or shareholders (depending on the bylaws) and must follow specific notice requirements. Only the matters stated in the meeting notice can be discussed and voted upon at a special meeting.
